Senior Legal Counsel

About the Company

Westbridge Capital is a private equity firm that specializes in acquiring and growing mature operating businesses across industries such as manufacturing, distribution, services, and technology. We partnerwith founders and management teams to build stronger businesses through operational improvement, add-on acquisitions, and disciplined capital allocation. Our philosophy allows us to provide liquidity to an underserved market and structure deals with management as our partners, which ensures long-term alignment of interests.

Westbridge Capital promotes a collaborative work environment with a team of experienced professionals across finance, M&A, legal, securities, HR, and IT. We are a lean, hands-on team. Our people work directly on deals, sit close to our portfolio companies, and see the impact of their work.

The Role

We are hiring a Senior Legal Counsel, M&A to lead the legal side of our M&A activity on deals, from first letter of intent through closing and post-closing. This is a hands-on role: you will draft the documents, run the diligence, negotiate the terms, and manage the file yourself. You will work directly with our deal teams and our Professional Services Group (PSG), and you will be the person external counsel reports to. If you want real ownership of transactions, a seat close to the investment decision, and a lean team where your work is visible, this role is built for you.

The position may be based in our Saskatoon office or performed remotely.

Key Responsibilities

  • Run transactions end to end. Lead acquisitions, add-ons, and exits from LOI through closing and post-closing integration, owning the timeline, checklist, and closing mechanics.

  • Draft and negotiate the core documents. Prepare and negotiate LOIs, share and asset purchase agreements, disclosure schedules, ancillary agreements, and closing documents.

  • Lead legal due diligence. Scope the review, work the data room, identify material risks, and translate findings into clear, practical advice and deal protections.

  • Manage external counsel. Direct outside firms on scope, staffing, and budget, review their work critically, and keep fees aligned with the deal.

  • Advise the deal team. Give commercially grounded guidance on structure, risk allocation, indemnities, escrows, earn-outs, and R&W insurance.

  • Support financing and closings. Coordinate with lenders' counsel on acquisition financing and manage signing and closing deliverables.

  • Support portfolio companies. Provide legal guidance on governance, material contracts, and post-acquisition matters across our portfolio.

  • Build the playbook. Assist in developing templates, checklists, and processes that make each deal faster and more consistent than the last.

Qualifications

Required

  • Law degree and membership in good standing with the Law Society of your province.

  • 10+ years of M&A and corporate experience, gained at a leading law firm, in-house, or both.

  • A proven record of running M&A files from start to finish as the lead lawyer, not only supporting a larger team.

  • Strong first-hand drafting and negotiation of disclosure schedules, purchase agreements, and related transaction documents.

  • Experience leading legal due diligence and managing external counsel to a budget.

  • A hands-on, roll-up-your-sleeves approach and comfort working without a large support team.

  • Sound commercial judgment: you can separate the risks that matter from the ones that don't, and say so plainly.

  • The ability to manage several live deals at once under tight timelines.

Preferred

  • Private equity or sponsor-side transaction experience.

  • Preference towards candidates with in-house legal.

  • Experience with acquisition financing, R&W insurance, and cross-border (Canada–U.S.) deals.

  • Familiarity with employment, real estate, or environmental issues common in operating-company acquisitions.
